Plain English summary: By using Simba's API, you agree to use it lawfully, keep your API keys secure, and take responsibility for what your application does with our service. We provide the API as-is and our liability is limited. These terms are governed by UAE law.

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Simba API and related services ("Service") provided by Simba Technologies ("Simba", "we", "us", "our"), a business registered in Dubai, UAE.

By accessing or using the Service, you ("Operator", "you") agree to be bound by these Terms. If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. The Service

Simba provides a carrier-level authentication API that enables Operators to:

The Service routes requests to carrier APIs and third-party providers including e& UAE, MTN Chenosis, and D7 Networks. Simba's ability to provide the Service is dependent on the availability and policies of these upstream providers.

3. API access and API keys

Access to the Service requires a valid API key issued by Simba. You are responsible for:

Simba reserves the right to revoke API keys that are being used in violation of these Terms, without notice.

4. Permitted use

You may use the Service only for lawful purposes and in accordance with these Terms. Permitted uses include:

You must obtain appropriate consent from your end users before submitting their phone numbers to the Service, in accordance with applicable data protection and telecommunications laws.

Simba may immediately suspend your access if it determines, in its sole discretion, that you are in violation of this section.

6. Rate limits and fair use

The Service is subject to rate limits applied per API key. Current limits are:

Requests that exceed these limits will receive a 429 response. Simba reserves the right to adjust rate limits with reasonable notice. Custom limits may be agreed in writing for high-volume use cases.

7. Payment and billing

Access to the Service may be subject to fees as agreed between you and Simba. Pricing, payment terms, and billing cycles will be set out in a separate order or agreement.

Costs incurred by Simba from upstream providers (carrier APIs, SMS delivery networks) as a result of your API usage are your responsibility and will be reflected in your billing.

Simba reserves the right to suspend access for overdue accounts.

8. Intellectual property

Simba retains all intellectual property rights in the Service, including the API, documentation, and any software provided. These Terms do not grant you any ownership rights in the Service.

You grant Simba a non-exclusive, royalty-free licence to use data generated by your API usage for the purpose of operating, improving, and securing the Service.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service, and to use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SIMBA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE.

The availability of the Service depends on third-party carrier APIs and delivery networks outside Simba's control. Simba makes no guarantees regarding delivery rates, response times, or the accuracy of carrier-provided data.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMBA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

SIMBA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SIMBA IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Simba, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate access to the Service at any time by providing written notice. Simba may terminate or suspend access immediately without notice if you violate these Terms or if continued provision of the Service would expose Simba to legal or regulatory risk.

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including sections 8–12 and 15) will do so.

14. Changes to these Terms

Simba may update these Terms from time to time. Material changes will be communicated to Operators via email at least 14 days before taking effect. Continued use of the Service after changes are effective constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
